Frequently asked questions

Different buyers and advisors can produce very different numbers, and the highest one is not automatically the most useful. A Free Market Read gives you a grounded range, the assumptions behind it, what buyers are likely to focus on, and what could materially change the outcome.

A high valuation can be an easy way to win an engagement. It is much harder to defend that valuation with real buyers and carry it through diligence. We would rather give you a range we can explain and support than win your business with a number we do not believe.

No. Some issues can materially affect buyer confidence, value or deal certainty. Others are better explained than fixed, and some are simply not worth the time. We focus preparation on what is most likely to matter to the buyers we expect to care about your business.

Different acquirers value different things. Our experience as buyers, investors and operators helps us look beyond a generic buyer list and focus on the people with the strongest reason to value what is distinctive about your company.

Not necessarily. Price matters, but so do certainty, structure, timing, the buyer’s ability to close, what happens to the team, your role after the sale, and other priorities that may matter to you. We evaluate offers against the outcome you actually want.

An LOI is not the same thing as cash at close. New information, unresolved issues, weak preparation or a buyer gaining leverage during diligence can all lead to a retrade. We try to reduce that risk by positioning the business accurately, surfacing important issues early and managing the process closely after an offer is signed.

That can be a useful starting point, but it does not tell you whether the price or terms are strong, whether another buyer would value the business more, or how much leverage you have. We can help you assess the offer, understand the alternatives and decide whether a broader process would improve the outcome.

No. Some of the most useful decisions happen before a sale process begins. We can help you understand where the business stands today, what buyers are likely to care about and what may be worth doing before you decide whether or when to sell.

We see a lot of businesses. That perspective lets us know when things could be improved. Instead of simply pointing those out and telling an owner what to fix, we bring in experts that can go deeper. When a question in marketing, finance, legal, technology or another function could materially affect a sale, PROX brings in a specialist who works in that field every day. They don't just stop at a diagnosis. They create a specific and actionable plan to implement a change, scope the project, quantify the opportunity, and can actually do the work. PROX connects it to the buyer’s perspective and the sale strategy. The result is one coordinated plan rather than a collection of disconnected opinions.
